These Terms & Conditions (“Terms”) govern your access to and use of the website, software products, and services provided by Niogin(“Niogin”, “we”, “us”, or “our”). By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Definitions

“Services” means our website, software-as-a-service products, and any development, integration, or consulting services we provide. “You” means the individual or entity using the Services.

Use of the website and services

You may use the Services only in compliance with these Terms and all applicable laws. We may modify, suspend, or discontinue any part of the Services at any time without liability where reasonable to do so.

Accounts

Some Services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to provide accurate and current information.

Acceptable use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorised access to, disrupt, or reverse-engineer the Services or related systems.
• Upload malicious code or infringe the intellectual property or privacy rights of others.

Intellectual property

The Services, including all software, content, branding, and the Niogin marks, are owned by Niogin or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to you, no rights are transferred. Ownership of bespoke deliverables produced under a separate services agreement is governed by that agreement.

Fees and payment

Where Services are provided on a paid or subscription basis, fees, billing cycles, and payment terms are set out in the applicable order, plan, or statement of work. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for. Late or failed payments may result in suspension of the Services.

Third-party services

The Services may integrate with or link to third-party platforms (such as payment, hosting, or commerce providers). Your use of those services is governed by their own terms, and we are not responsible for them.

Disclaimers

Except as expressly stated in a separate written agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Niogin will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the relevant Services in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold Niogin harmless from claims, damages, and expenses arising out of your misuse of the Services or breach of these Terms.

Term and termination

We may suspend or terminate your access to the Services if you breach these Terms or where required by law. Provisions that by their nature should survive termination will continue to apply.

Governing law

These Terms are governed by the laws of Sri Lanka, and the courts of Colombo, Sri Lanka will have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you in your country of residence.

Changes to these Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
